Mr. Rajendra Misra is the Executive Vice President – General Counsel & Corporate Affairs of The Indian Hotels Company Limited (IHCL), South Asia’s largest hospitality company and a Tata Group enterprise. IHCL owns and operates hotels in India and internationally under iconic brands including Taj, Vivanta, SeleQtions, Gateway, and other differentiated brand offerings. He is a member of the Executive Committee of IHCL, the Company’s apex executive leadership body.

In his role, Mr. Misra provides enterprise‑wide legal, governance, and strategic counsel, combining rigorous risk management with business enablement across owned, managed, and affiliated hotel portfolios. He leads the Legal and Corporate Affairs functions at IHCL, with the Secretarial function having a dotted‑line reporting relationship, and plays a pivotal role in shaping legal strategy, governance standards, regulatory engagement, and institutional reputation.

Mr. Misra’s mandate spans strategic litigation management, legal advisory on organic growth through management contracts, and inorganic growth through acquisitions and strategic investments. He works closely with the executive management to assess legal and regulatory implications of business decisions, proactively mitigating risk while enabling commercially sustainable expansion. A key current focus area is enterprise readiness and implementation under India’s Digital Personal Data Protection (DPDP) law, ensuring compliance is embedded into business processes and technology ecosystems at scale.

As General Counsel, he has institutionalised a business‑aligned legal operating model, balancing enforceability, governance, and agility. His leadership encompasses developing high‑performing legal talent, building long‑term strategic partnerships with external counsel, strengthening enterprise risk management, driving process efficiencies, and leveraging technology to create scalable and data‑driven legal operations. Under his stewardship, compliance has been positioned not merely as a control function but as a core organisational value.

In parallel, as head of Corporate Affairs, Mr. Misra is responsible for government and regulatory engagement, key stakeholder management, and protecting and enhancing IHCL’s corporate reputation. His work in this area supports the Company’s long‑term license to operate, policy alignment, and trust‑based relationships with regulators, industry bodies, and external stakeholders.

Technology, Compliance & Process Transformation

Mr. Misra has been instrumental in conceptualising and operationalising technology‑led solutions for compliance management, contract lifecycle management, intellectual property management, and litigation management across IHCL. These initiatives have driven standardisation, transparency, and risk mitigation at an enterprise level. He has complemented technology adoption with structured gap analysis and audit‑based reviews to reinforce compliance rigor. The latest initiative is creation and deployment of an AI agent which enables almost instantaneous generation of Contract Summaries of large hotel management contracts.

A strong proponent of capability building, he introduced organisation‑wide e‑learning programmes through an internally developed Learning Management System (LMS), focused on critical legal and compliance themes to increase legal awareness across business and operational teams. Under his leadership, key contracts across the group have been standardised, creating consistency, reducing negotiation risk, and supporting scalable growth across brands and geographies.

Pioneering Intellectual Property & Brand Protection

Mr. Misra is widely recognised for his pioneering contributions to intellectual property law and strategy, especially in the hospitality sector. Notably, he secured image mark registration for the Taj Mahal Palace & Towers, Mumbai, making it the first building in India to receive such protection. This placed IHCL among an elite global cohort of iconic structures such as the Empire State Building, Chrysler Building, and Sydney Opera House that have successfully protected their architectural identity through trademark law.

Beyond protection, this unique IP has been strategically monetised through licensing, creating a rare distinction for a corporate legal function. The initiative received extensive media coverage and praise from leading IP practitioners and legal publications. Mr. Misra’s thought leadership on this subject has been published in the International In‑House Counsel Journal (London), IP Era, and Lex Witness.

In another first for the Indian hospitality sector, he also secured sound mark registration for the Taj Sonic sound, further strengthening IHCL’s brand architecture through non‑traditional IP assets.

Professional Journey & Expertise

Mr. Misra is a seasoned legal professional with over 34 years of experience in leading Indian corporations. Prior to joining IHCL, he was with Hindustan Unilever Limited (HUL), and earlier served as Associate General Counsel at ITC Limited. He began his in‑house legal career with Indian Aluminium Company Limited (Indal).

His professional experience spans diverse industries including hospitality, FMCG, and metals, with deep expertise in litigation management, intellectual property, competition law, corporate and commercial law, regulatory compliance, and strategically enabling business initiatives within complex, regulated environments.

Education, Leadership & Recognition

Mr. Misra is an alumnus of the Leadership in Corporate Counsel programme at Harvard Law School (2019). He holds an LL.B. from the University of Calcutta and a Post‑Graduate Diploma in Patents Law (PGDPL) from NALSAR University of Law. He has also completed the Hawkesmere programme on International Intellectual Property Law, London.

He has been consistently recognised among India’s leading General Counsel by reputed organisations and publications including The Legal 500 (London), Legal Era, BW Legal World, UK‑India Legal Partnership (UKILP), ICCA, CCAI, and INBA. His interviews and perspectives have been featured by Bar & Bench, BW Legal World, Legally India, and SuperLawyer, among others.

Industry Engagement & Thought Leadership

In addition to his corporate role, Mr. Misra actively contributes to the legal and hospitality ecosystem. He advises and leads legal initiatives for key industry associations and works closely with Hospitality Association of India (HAI) and Federation of Hotel & Restaurant Associations of India (FHRAI) on sector‑wide legal and policy issues.

He is a regular speaker at in‑house counsel forums, reflecting his commitment to mentoring the next generation of legal professionals, and is a member of the National Advisory Council of the Federation of Indian Corporate Lawyers.
